By accessing or using Nervus.io ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Nervus.io. Please read them carefully before using the platform.

Nervus.io is a personal productivity platform built around a rigid hierarchy: Area → Objective → Goal → Project → Task. The Service includes AI-powered features, focus sessions, weekly reviews, calendar integration, and other tools to help you organize and achieve your goals.

The Service is provided as a cloud-based SaaS application accessible via web browser. Features may vary between the Free and Pro subscription tiers.

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and update your account information to keep it accurate.
• Keep your password secure and confidential. You are responsible for all activity under your account.
• Notify us immediately at legal@nervus.io if you suspect unauthorized access to your account.
• Not create multiple accounts for the purpose of abusing free tier limits or promotions.

Nervus.io offers Free and Pro subscription plans. Pro plans are billed on a monthly or annual basis, as selected at checkout.

All payments are processed by Paddle, our merchant of record. Paddle handles all billing, taxes, invoicing, and payment compliance on our behalf. By subscribing, you also agree to Paddle's terms of service.

• Prices are displayed in your local currency where supported. All prices include applicable taxes.
• Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
• We reserve the right to change pricing with at least 30 days' notice. Existing subscriptions will be honored at their current rate until the next renewal.

Participation in our Referral Program is subject to the Referral Program Terms.

You may cancel your subscription at any time from your account settings:

• Cancellation takes effect at the end of your current billing period. You retain access to Pro features until then.
• After cancellation, your account reverts to the Free plan. Your data is preserved — you do not lose any content.
• If you cancel during a free trial, you will immediately revert to the Free plan.
• We do not charge cancellation fees.

We want you to be satisfied with the Service. Our refund policy is as follows:

• Annual subscriptions: a full refund is available within 14 days of the initial purchase or renewal if you have not extensively used Pro features during that period.
• Monthly subscriptions: refunds are generally not provided for monthly plans, as you can cancel at any time before the next billing cycle.
• Technical issues: if the Service is materially unavailable or defective for an extended period, you may be eligible for a pro-rated refund.
• Duplicate charges or billing errors will be refunded in full upon verification.
• To request a refund, contact us at legal@nervus.io with your account email and the reason for your request.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Upload or transmit malicious code, viruses, or harmful content.
• Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure.
• Use automated tools (bots, scrapers) to access the Service without our written permission.
• Abuse AI features by attempting prompt injection, jailbreaking, or generating content that violates our guidelines.
• Circumvent usage limits, rate limits, or feature restrictions through any means.
• Resell, sublicense, or commercially redistribute the Service or any part of it.
• Harass, impersonate, or harm other users or the Nervus.io team.

We reserve the right to suspend or terminate accounts that violate these guidelines, with or without prior notice depending on the severity of the violation.

The Service, including its design, code, AI models integrations, branding, and documentation, is the intellectual property of Nervus.io and is protected by copyright and other intellectual property laws. You may not copy, modify, or reverse-engineer any part of the Service.

You retain full ownership of all content you create within the Service. We claim no intellectual property rights over your data. You grant us a limited license to process your content solely for the purpose of providing and improving the Service.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

You can export your data at any time from your account settings. We support data portability and will provide your data in a standard format upon request.

Upon account deletion, all your personal data and content will be permanently removed within 30 days, except where retention is required by law.

The Service includes AI-powered features. By using these features, you acknowledge that:

• AI-generated content (suggestions, reviews, insights) is provided for informational purposes and should not be treated as professional advice.
• AI outputs may occasionally be inaccurate, incomplete, or irrelevant. You are responsible for reviewing and deciding whether to act on AI suggestions.
• Your content is sent to third-party AI providers (OpenAI, Anthropic, Google) for processing. These providers do not use API data for model training.
• AI feature availability and quality may vary. We do not guarantee specific AI performance levels.
• We may change AI providers or models at any time to improve quality or reduce costs, without prior notice.

We strive to keep Nervus.io available and reliable, but we cannot guarantee uninterrupted access:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
• We may perform scheduled maintenance that temporarily affects availability. We will provide advance notice when possible.
• We are not liable for interruptions caused by factors beyond our control, including internet outages, third-party service failures, or force majeure events.
• We target 99.9% uptime but this is a goal, not a guarantee or SLA commitment.

To the maximum extent permitted by applicable law, Nervus.io and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service.

Our total liability for any claim related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100 USD, whichever is greater.

This limitation applies regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

You may delete your account at any time from your account settings. Upon deletion, your subscription (if any) will be cancelled, and your data will be permanently removed within 30 days.

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if required by law. We will provide notice and an opportunity to export your data when reasonably possible.

Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, limitation of liability, and governing law survive termination.

These Terms are governed by and construed in accordance with the laws of Brazil, without regard to conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be submitted to the courts of Brazil.

We may modify these Terms from time to time. When we make changes:

• Material changes will be communicated via email or a prominent in-app notice at least 30 days before taking effect.
• Minor changes (e.g., clarifications, formatting) may take effect immediately upon posting.
• Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

If you disagree with any changes, you may cancel your subscription and delete your account before the changes take effect.
